Contractor Request For Quote

To: Qualified Contractors

Solana Energy has prepared the Casa Aguila RFQ for AGB according to the AGB-Solana Agreement. Solana is here to help you prepare the best bid package possible. Please submit any Request for Clarifications and they will be published and answered as a sub-page to Requirements.

The Contractor will sub-contract to AGB, the General Contractor. In turn, the Contractor and Solana Energy will team together. Solana will sub-contract to the Contractor.

Reputation is everything. All parties will sustain the other.

Solana has been in the lead in the performance of the project. It seeks to do so under the teaming agreement with the Contractor. The roles which Solana seeks to perform are project design and management:
  1. All phases leading to the completion of  engineering, permitting, procurement and construction of the energy system;  use of Solana consultant Larry Slominski; perfection of the designs and engineering drawings; maintenance of the German relationships with Deger, SMA and SonnenBatterie, world-class suppliers to energy systems; implementation of an on-site power control system capable of heartbeat analysis, fault isolation, and error correction using the OpenSCADA framework; financial support to the AGB and the Owner to maximize all legal incentives and credits.
  2. The Power Control System is software as a service. It provides a means to electronically isolate subsystems; to upload data to specific reporting sites; and, to provide an XML feed on a local port of the "heartbeat" of the power system.
  3. Cooperate, interface and integrate with existing sub-contractors including the General Contractor (AGB), OneSphere, Adroit, Electrician, and supervisor, Jesse Heilig.
  4. Purchase and deliver some specialized material such as the Deger Tracking systems, the solar modules, and the Sonnen Battery System. The Solana markup is 7.5%. Solana will credit 40% of the markup to the Contractor. For all other material, the Contractor may mark up those materials as is customary for the company.
  5. In cooperation with the Contractor,  supervise the installation as performed by Sub-Contractors or the Contractor including:

      Verification that the electrician has installed per the
      electrical design all conductor, distribution panels, breakers,
      fuses, switch gear (SDG&E) required to support the Energy System.
      Assist where needed the electrician to bring the electrical system
      into conformance with the one-line diagram prepared by the
      Electrical Engineer.

      Installation of the three Solana Solar Trees (Deger D-60) by
      the preferred sub-contractor, M Bar C including the placement of
      the PV
    Modules and SMA Inverters on each Solana Tree according
      to the Structural Engineering specifications.

      Wind Turbine Turn-Key by WindSun (Joe Moore);

      Sonnen 40 KWH Battery acting as auxiliary power 24/7;

      SMA Island Controllers (2) and small battery unit required
      both of which are at the heart of the operation of the energy
      system in both grid connected and island mode.

      Interconnect all electrical;

      Interconnect all communication ports according to the systems
      control specification;

      Execution of all Unit Tests by the Test Director;

      System Integration Testing, Commissioning, and Hand-Off to the
      General Contractor with a Commissioning Report.

There are conditions for the successful implementation of this contract.

  • Schedule.
    The schedule is late though not of the fault of any party. Everyone will work to deliver an operational system not later than Aug 31 assuming a contract is let to the Contractor not later than March 10. There is a risk that this date will slip by 90 days to allow for rework, test, and fine-tuning.

  • Exclusions
    There are exclusions to this contract.

    1) The Power Wise System.
    This system provides to the Owner a monitoring dashboard for all resource data including electrical, water, appliance and lighting. This system will be implemented by OneSphere, a project contractor.

    2) The creation of piers to support the three solar trees.

  • Cost Advances
    AGB, the General Contractor,
    cannot make advances until it has been invoiced by the subcontractor, and receives payment from the owner for the invoices. AGB invoices every two weeks, and then waits for the check to come to us. AGB cannot, as a company, act as a bank for our subcontractors.

  • Allowances.
    The Contractor will see on the Estimation Schedule "ALLOWANCE" for a line item not yet quantified. As soon as practical, the allowance will be converted to a firm fee subject to the approval of the General Contractor.

  • Contractor Fee.
    The fee paid to the Contractor for Administration, Overhead, Supervision and Profit should be clear.

  • Change Orders.
    There may be Change Orders.  However the Contractor will be scored on delivering a bid for the good faith execution of all known costs.

  • Avoidance of Misunderstandings and Errors.
    While everyday mistakes are unavoidable, serious misunderstandings and errors could cause injury, loss of reputation, and implementation failure. Communication and documentation is key for success.

The Contractor will sign a contract with AGB and execute a binding sub-contract agreement with Solana Energy. The Contractor will agree to customary terms including liability insurance; dispute resolution; and, other standard AGB sub-contract terms.
